Terms and Conditions

PLEASE READ THESE SOFTWARE AS A SERVICE TERMS AND CONDITIONS (“Agreement”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY EASYTV LLC (“Supplier”). BY CHECKING THE “I ACCEPT” BOX OR USING EASYTV’S SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS ON BEHALF OF YOURSELF OR THE ORGANIZATION YOU REPRESENT (“Customer” or “You”). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Definitions

• Affiliate: Any entity that controls, is controlled by, or is under common control with a party.

• Effective Date: The date Customer first accesses the Services.

• Services: EasyTV’s digital signage management solution accessible online.

• Subscription Term: The duration for which the Customer has access to the Services under a paid or free plan.

• Authorized User: Any employee or contractor authorized to access and use the Services.

• Software: The EasyTV application and related software components.

• Registered Player: A device registered to a subscription and used to display content.

• Content: Any media or material uploaded, displayed, or managed via EasyTV.

2. Grant of Rights

Supplier grants Customer a non-exclusive, non-transferable right to access and use the Services solely for internal business purposes, subject to these Terms and up to the number of Registered Players covered by the subscription.

3. Subscriptions & Payment

• Each Registered Player requires an individual subscription.

• Subscription fees are due upfront for the selected term (monthly or annually).

• EasyTV reserves the right to modify pricing with prior notice.

• Failure to pay may result in suspension or termination of the Service.

4. Free Plan

Accounts on the Free Plan may be deleted after 365 days of inactivity. Customers will receive bimonthly reminder emails prior to deletion.

5. Customer Responsibilities

• Maintain the confidentiality of login credentials.

• Ensure Authorized Users comply with this Agreement.

• Ensure that all hardware not supplied by EasyTV is compatible.

• Use the Services in accordance with applicable laws.

6. Intellectual Property

All intellectual property in the Services, Software, and Documentation remains the sole property of EasyTV or its licensors. Customer retains rights only to the Content they upload.

7. Restrictions

You may not:

• Copy, modify, or reverse engineer any part of the Service.

• Share login credentials between users.

• Use the Service for illegal or unauthorized purposes.

8. Confidentiality

Each party agrees to protect the other’s confidential information with reasonable care and not disclose it to third parties without consent.

9. Warranties

EasyTV warrants that the Services will perform materially as described. Except as stated, Services are provided “as-is” without warranties of any kind.

10. Limitation of Liability

To the fullest extent permitted by law, EasyTV shall not be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the fees paid by Customer in the 12 months preceding the claim.

11. Termination

This Agreement remains effective until terminated. EasyTV may suspend or terminate access for breach. Customer may terminate with notice. Upon termination, all access ends, and data may be deleted.

12. Modifications

EasyTV may modify these Terms by posting the updated version on its website. Continued use after changes constitutes acceptance.

13. Governing Law

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict of law principles.
